2.1 Key Responsibilities

2.1.1 Top Management Responsibilities

The Company’s Top Management is responsible and accountable for, and is authorized to, plan, organize, execute and monitor the Company's activities in compliance with applicable national and international regulations, its Code of Conduct and the Company Policies as set out within the SMS:

Top Management shall demonstrate leadership and commitment with respect to the quality management system, environmental protection and occupational health and safety by:

  1. Taking accountability for the effectiveness of the quality management system;
  2. Ensuring that the quality policy and quality objectives are established for the quality management system and are compatible with the context and strategic direction of the organization;
  3. Ensuring the integration of the quality management system requirements in the organization’s business processes;
  4. Promoting the use of the process approach and risk-based thinking;
  5. Ensuring that the resources needed for the quality management system are available;
  6. Communicating the importance of effective quality management and of conforming to the quality management system requirements;
  7. Ensuring that the quality management system achieves its intended results;
  8. Engaging, directing, and supporting persons to contribute to the effectiveness of the quality management system;
  9. Promoting improvement;
  10. Supporting other relevant management roles to demonstrate their leadership as it applies to their areas of responsibility;
  11. Ensuring that adequate resources and shore-based support are provided to enable the designated person or persons to carry out their functions.

In addition, Management will fully support and implement the concepts of safety and environmental excellence by encouraging information sharing, the use of industry best practices and the promotion of equipment and practices that minimize waste generation throughout the Company, both onshore and at sea.

It is the responsibility of Top Management to carry out reviews of the business and where changes are made to review the impact of such changes, ensure that relevant personnel are designated and tasked with specific responsibilities to ensure that any change management process is carried out correctly.

2.1.2 Responsibilities on Shore

a) Managing Director

Required Qualifications: Graduate Degree having sound knowledge in Shipping Industry.

Responsibility and Authorities:

The Managing Director is responsible and accountable for the systematic safety, environmental and quality performance throughout the office. When organizational changes take place within the office it is the responsibility of the Managing Director to issue a clear and explicit re-assignment of accountability to those functions undergoing change.

The Managing Director’s duties are fulfilled by:

b) Management Team

The management team ashore includes those with direct responsibilities and accountability for the safe and efficient operation of the vessels under management. This includes the Managing Director, HSSEQ Manager, Crew Manager, Technical Manager, Marine & HSEQ Superintendent, and Technical Superintendent.

It is the responsibility of the management team, in cooperation with the HSSEQ Department, to ensure that the SMS is developed and revised and to provide support so that the Master’s duties can be safely performed. Additionally, it is the responsibility of the management team to encourage information sharing, to formally identify, promote, and disseminate any best practices identified (either by onboard crews or management ashore) and deliver records of “lessons learned” to all vessels across the entire fleet.

Furthermore, it is the responsibility of the management team to ensure that the SMS and the concept of safety and environmental excellence are understood at all levels and are fully implemented throughout the management office and onboard managed vessels. The management team will encourage and assess the understanding of the concepts by personnel through ship visits, informal meetings, and seminars.

Department managers are responsible to the Managing Director for activities assigned to and executed by them and for verification of activities carried out within their areas of responsibility. When team members are absent from the office, the department manager shall ensure that adequate provision is made to cover the duties required by the SMS, supported by a documented handover.

b.1) Technical Director

Required Qualifications: Chief Engineer/ 2nd Engineer with two years of experience

The functional head of the Technical Department. He/She is also the Deputy Designated Person Ashore (DDPA) & Deputy/Company Security Officer (DCSO/CSO).

Responsible for:

• Operation to highest standards

• Complying with:

        o Legal and regulatory requirements & SMSSMS

• Verify availability of resources for new business project, including:

         o People
         o Competence
         o Experience

• Approve pre-delivery and operating expenditure budgets

• Approve PO in DSM Portal

b.2) Technical manager

Required Qualifications : Chief Engineer/ 2nd Engineer with two years experience

To maintain implement and update filing system as per SMS requirement.

c.1) Technical Assistant

Required Qualifications: 2nd mate or 2nd Class license holder with 12 months rank experience.

  1. To receive daily/weekly/fortnightly/monthly report and file them in folder of each ship after proper checking.
  2. To receive and fill any report from workshop or third parties which are required to be saved on server in related folder (distribution of reports will be done under TSI review and request once it is received from any service provider).
  3. To receive and update on server all class, flag, insurance and other certificates which are required to be saved on server in related folder. Keep updating vessel folder on server when Certificates renewed or any extension/dispensation received.
  4. To review daily, weekly, fortnightly, and monthly report received from fleet and make sure that they have been correctly prepared and in case of any mistake, it should be brought to notice of ship.
  5. To review noon report from fleet and make sure for correct ROB and other logging.
  6. To check all ship certificates to make sure they are all valid and to warn TD/TM/TSI/MSI for any certificate which will be due for extension or renewal within three months.
  7. To check and monitor (among with assigned TECH/SAFETY/MARINE departments in charge) ship insurances (P&I and H&M) to make sure they are all valid and to warn TD/TM/TSI/MSI for any insurances which will be due for renewal within 3 months (notification should be made every month starting from expiry period 3 months remained for renewal. When 1 month remains for expiration of insurances – MD and TD to be informed separately if responsible for insurance renewal departments were not performing any action).
  8. To check monthly paint, chemical and lub oil ROB and spare inventory to make sure they have been updated by ship and no mistake has been done by ships and advise to TM and TSI for any low ROB or zero spare.
  9. To send daily and monthly work done report to owners after proper checking (for each company and vessel requirement can vary – hence TA should discuss with vessel assigned TSI which reports to be collected and sent to owners monthly/weekly/daily).
  10. To assist to PMS team with preparation of PMS data for new taking over ships (in case any documents cannot be received by PMS department in time) and be in contact with PMS department in case any corrections.
  11. Together with assigned TSI in charge of vessel to monitor PMS of each ship and in case of overdue jobs to report to TM, TSI and TD.
  12. To back up procurement officer as per request of TD (if said will be required or necessary for short period).
  13. Contact workshop for shore service as per TSI request (in case assistance required by TSI in preparation for DD).
  14. Responsible for DCS and CII reporting (collecting info and forms from vessel and uploading them into assigned platform) to platform for IMO DCS and EUMRV (where EUMRV applicable) compliance.
  15. Responsible for Plans review together with Marine and Technical team and necessary amendments/corrections into plans upon Tech Director request (assisting to TSI if required).
  16. Review vessels reporting performance and providing monitoring and reminders in case reports were not correct, not sent to management timely, missed, or in the wrong format or any other errors/mismatching noticed.
  17. Assist to TSI in charge for preparation to Class and Flag survey upon request. Assist in Certificates and plans review and monitoring.

c.2) Manning Assistant:

As directed by Crew Manager.

2.1.3 Management Representative

Required Qualifications: Senior management officer with master or Clas-1 COC with at-least 2 year sailing experience as master or Chief Engineer and with suitable 2 years experience in HSSEQ dept

The Managing Director shall appoint a Management Representative who will normally be the head of HSSEQ Department. This person shall be accountable and be responsible for, and have the authority that includes:

Responsibility and Authorities:

    1. Communication and implementation of the safety and environmental protection policy.
    2. Planning, organizing and carrying out the internal audits of the shore-based and shipboard operations under the SMS and keeping records of the same.
    3. Will be a part of emergency response team, providing a link between ship and shore in matters of safety & pollution prevention.
    4. Continuous monitoring and especially remote monitoring for the evaluation and review of the effectiveness of the safety management system.
    5. Reporting and analysis of non-conformities, accidents and hazardous occurrences.
    6. Appropriate revisions to the SMS.
    7. Ensuring that adequate resources and shore-based support is provided to achieve all of the above.
    8. Investigating, analysis and taking corrective / preventive action for reported non-conformities, accidents and hazardous occurrences.
    9. Programming, organizing and controlling management review meeting and keeping records of the same.
    10. Assist ship staff in risk assessment and job safety hazard analysis.
    11. Liaison with Marine Superintendent on routine issues of the SMS, including feedback on safety committee meetings and Master’s review of the SMS.
    12. To ensure monitoring of the safety management system via visits/inspections on board during calls or trips, following-up with shipboard recordings of safety drills reports, familiarization recordings, maintenance and periodic tests of all ship's equipment, safety and training meetings, orders for repairs or spare parts, Masters reviews and the internal audits, etc.
    13. Identifying training requirements with respect to shore-based personnel involved with the SMS.
    14. Review of all new regulations.
    15. Time frame to be chalked out for implementation of new rules and regulations.
    16. Alternate DPA shall carry out all functions of DPA during the absence of DPA.
    17. Communicate with Flag as First Point Of Contact.
    18. Submit TMSA and all details in OCIMF as per SMS.
    19. Organize Top Management meeting and record minutes of discussion.

2.1.4 Master`s Responsibility and Overriding Authority

The Company, through its recruitment and familiarization procedures, ensures that any appointed Master is medically fit, competent, qualified in accordance with international standards to STCW 2010 AS SUITABLE AND REQUIRED BY THE TYPE AND TRADE OF THE VESSEL, or other pertinent regulations for command, and is fully conversant with the Company's SMS:

The Master is management’s representative on board. He is required to be fully familiar and conversant with the SMS. He has the authority to act as he deems necessary, in an emergency situation involving the safety of the crew, vessel and cargo, and for pollution prevention without prior approval from Company.

He is responsible for:

The Master of the ship has overriding authority in matters regarding safety, security, and pollution prevention. This authority allows the Master to: Make critical decisions and take immediate actions at sea as well as in port, which he deems to be in the best interests of the safety of the ship, passengers or crew, and environmental protection with regard to measures which may be necessary to save the ship and request the company’s assistance as needed.

Master Have clear and unambiguous authority regarding acceptance of a salvage contract on LOF terms.

Once it has been decided that assistance is necessary:The Master should act promptly to request it from any available source using the most expeditious means at his disposal.

When one or more suitable ships respond to the call for assistance, the Master should immediately request such ship(s) to undertake whatever action is necessary.

Assistance should never be delayed merely to negotiate a particular form of agreement or contract terms.

Safety of life and safety of the ship take precedence over all other considerations, and it is emphasized that: Where life, the ship, its cargo, or the marine environment are in peril, such negotiations should not in any way delay the engagement of salvors.

2.1.5 Designated Person Ashore (DPA)

Required Qualifications:

Appropriately qualified, experienced as per statutory rules and regulations.

Responsibility and Authorities:

The DPA shall ensure the safe operation of managed ships and provide a link between the Company and those onboard by acting as the Designated Person Ashore (DPA) as defined by the ISM Code. The DPA shall have the independence and authority to report deficiencies observed to the highest level of management (i.e., the final decision maker regarding shoreside management and support and vessel operation and safety).

The responsibility and authority as the Designated / Alternate Designated person ashore include monitoring the safety and pollution-prevention aspects of the operation of each ship, ensuring that adequate resources are provided and shore-based support is applied. This is to be done by adopting best practices including improved procedures & or training.

2.1.6 SHIP MANNING
