2.1 Key Responsibilities
2.1.1 Top Management Responsibilities
The Company’s Top Management is responsible and accountable for, and is authorized to, plan, organize, execute and monitor the Company's activities in compliance with applicable national and international regulations, its Code of Conduct and the Company Policies as set out within the SMS:
Top Management shall demonstrate leadership and commitment with respect to the quality management system, environmental protection and occupational health and safety by:
- Taking accountability for the effectiveness of the quality management system;
- Ensuring that the quality policy and quality objectives are established for the quality management system and are compatible with the context and strategic direction of the organization;
- Ensuring the integration of the quality management system requirements in the organization’s business processes;
- Promoting the use of the process approach and risk-based thinking;
- Ensuring that the resources needed for the quality management system are available;
- Communicating the importance of effective quality management and of conforming to the quality management system requirements;
- Ensuring that the quality management system achieves its intended results;
- Engaging, directing, and supporting persons to contribute to the effectiveness of the quality management system;
- Promoting improvement;
- Supporting other relevant management roles to demonstrate their leadership as it applies to their areas of responsibility;
- Ensuring that adequate resources and shore-based support are provided to enable the designated person or persons to carry out their functions.
In addition, Management will fully support and implement the concepts of safety and environmental excellence by encouraging information sharing, the use of industry best practices and the promotion of equipment and practices that minimize waste generation throughout the Company, both onshore and at sea.
It is the responsibility of Top Management to carry out reviews of the business and where changes are made to review the impact of such changes, ensure that relevant personnel are designated and tasked with specific responsibilities to ensure that any change management process is carried out correctly.
2.1.2 Responsibilities on Shore
a) Managing Director
Required Qualifications: Graduate Degree having sound knowledge in Shipping Industry.
Responsibility and Authorities:
The Managing Director is responsible and accountable for the systematic safety, environmental and quality performance throughout the office. When organizational changes take place within the office it is the responsibility of the Managing Director to issue a clear and explicit re-assignment of accountability to those functions undergoing change.
The Managing Director’s duties are fulfilled by:
- The establishment of a competent management team, functioning in compliance with a well-adopted SMS.
- Delegation of responsibilities and authority to the management team, enabling it to execute planned activities.
- Monitoring the Company operation through regular meetings and reports including the results of internal and external audits and the results of incident / accident review meetings.
- Ensuring that processes of the SMS are established and maintained.
- Promoting awareness of client requirements through the office.
- Assigning the resources and issuing instructions to the colleagues for the development and implementation of the SMS.
b) Management Team
The management team ashore includes those with direct responsibilities and accountability for the safe and efficient operation of the vessels under management. This includes the Managing Director, HSSEQ Manager, Crew Manager, Technical Manager, Marine & HSEQ Superintendent, and Technical Superintendent.
It is the responsibility of the management team, in cooperation with the HSSEQ Department, to ensure that the SMS is developed and revised and to provide support so that the Master’s duties can be safely performed. Additionally, it is the responsibility of the management team to encourage information sharing, to formally identify, promote, and disseminate any best practices identified (either by onboard crews or management ashore) and deliver records of “lessons learned” to all vessels across the entire fleet.
Furthermore, it is the responsibility of the management team to ensure that the SMS and the concept of safety and environmental excellence are understood at all levels and are fully implemented throughout the management office and onboard managed vessels. The management team will encourage and assess the understanding of the concepts by personnel through ship visits, informal meetings, and seminars.
Department managers are responsible to the Managing Director for activities assigned to and executed by them and for verification of activities carried out within their areas of responsibility. When team members are absent from the office, the department manager shall ensure that adequate provision is made to cover the duties required by the SMS, supported by a documented handover.
b.1) Technical Director
Required Qualifications: Chief Engineer/ 2nd Engineer with two years of experience
The functional head of the Technical Department. He/She is also the Deputy Designated Person Ashore (DDPA) & Deputy/Company Security Officer (DCSO/CSO).
Responsible for:
• Operation to highest standards
• Complying with:
o Legal and regulatory requirements & SMSSMS• Verify availability of resources for new business project, including:
o People o Competence o Experience• Approve pre-delivery and operating expenditure budgets
• Approve PO in DSM Portal
b.2) Technical manager
Required Qualifications : Chief Engineer/ 2nd Engineer with two years experience
The functional Deputy Head of Technical Department Responsible for
- Operation at Highest Standards in the fleet
- Supervision over other Technical Superintendents under him
b.3 Technical Superintendent
Required Qualifications: Chief Engineer/ 2nd Engineer with two year experience
To maintain implement and update filing system as per SMS requirement.
- To be well familiar with company’s SMS, ISO and its requirements.
- To obtain updated Class Status.
- To get and keep updated Class Status, GMDSS SBM (Shore Based Maintenance) and Vessel’s Statutory Certificates except SMC, SSC, CSR, MLC & DMLC.
- To get flag related certificates as Full term for Interim Certificates issued by Class (ex- in case of Panama Flag- ITC, BWMP, IBWMC, IHM etc)
- To liaise with Class for all Class matters and update Technical manager
- To Assist Marine Superintendent in Closing findings in all technical matters for any Inspection/ Audits.
- Approve PO in DSM portal
- To Assist HSSEQ Manager in finalizing the Incident Investigation report.
- The Technical Superintendent should send monthly a copy of Class Status on board the fleet. Always to have updated Ship’s Certificate Validity table in cooperation with Master. To make all the arrangements required to keep them valid.
- Each Technical superintendent should have updated on board requisition tracer and budget table. At the end of each month the Superintendent shall advise an update on changes to the status of indents during the month to the vessel. i.e., sanctioned dates or canceled and approximate date of delivery, etc.
- To arrange Vessel’s Class and Statutory Surveys including Hull Continuous Items and CMS.
- Required surveys must be fixed with Class and Master latest three months before the due date.
- Technical Superintendent should arrange for CMS and Annual survey in well advanced as per opened class window.
- CMS should always be harmonized with other surveys.
- Technical Superintendent should prepare Dry Dock Specification for IS and SS with cooperation of ship staff and Marine superintendent and start to negotiate with shipyards and workshops to get quotation and make sure that all required spares will be procured in 4 months before IS and SS due date.
- To maintain ship to comply with MARPOL regulations.
- To maintain ship’s readiness to pass PSC and vetting inspections. The technical superintendent will be directly responsible for vessel detention in respect of technical department, bridge, accommodation, and deck failure. Technical superintendent upon receipt of observation list from PSC or Vetting inspector should arrange to rectify them with cooperation of ship’s staff and Marine superintendent as soon as possible and report to technical manager within one week.
- To monitor and file Daily Engine and Deck Work Done, Technical Noon Report and PMS reports and give appropriate instructions to Master, Chief Engineer and Chief Officer based on these reports.
- Technical superintendent is responsible for identification of work required, planning for efficient and effective maintenance in order to ensure the vessel’s operational capabilities are maintained at all times. The technical superintendent is responsible for making sure that all the ship’s machinery is operational and should bring valid reason for any off firing due to failure of Main Machineries e.g.
- Main Engine
- Cargo handling system
- Auxiliary Engine
- Technical superintendent is responsible for bridge, deck and accommodation maintenance and should make sure that Life Saving Appliances; Fire Fighting Equipment; Bridge equipment; Cargo Equipment; Mooring Equipment and All other Deck related Equipment are well maintained by ships’ crew and are in operational condition and related valid certificates are available on board and office.
- Each superintendent shall be responsible to ensure:
- Updating of technical quality records.
- Monitoring his ship’s expenditure
- Keeping ship inventory records of:
- Machinery and equipment on board each vessel.
- Spare parts.
- Lubricant on a monthly basis.
- Chemicals on a monthly basis.
- Major items by continuous tracking.
- Monitoring boiler water quality on a daily basis and detailed analysis on a monthly basis via appropriate form supplied by the chemical vendor.
- Monitoring Lubricating oil quality every 4 months via analysis carried out by the oil supplier, a sample to be taken from following machinery:
- Main Engine
- Diesel Generators
- Stern Tube
- Cargo Oil Pumps
- Steering Gear
- Intermediate Shaft Bearing
- Purifier
- Air Compressor
- Deck Cranes, Winches and Windlasses
- To receive technical requisition, check their quantities, ROB and reasons for ordering and send them to the procurement department to obtain quotation.
- In case ship staff aren’t capable of performing some particular repairs, the Technical Superintendent is responsible for assessing the necessity of workshop and getting quotation from at least two workshops and arrange workshop in suitable port after confirmation of Technical Manager.
- To visit each vessel at least two times per year and fill in vessel inspection report and assess quality of ship staff and report to Personnel department.
- To conduct interviews with all Engine crew members offered for embarkation by the Personnel department and monitor ship’s crew performance on board and report to Personnel department failure of crew.
- To check on a monthly basis all statutory updates and assess relevance of new items to the fleet.
- To send an appropriate report to the top management with appropriate actions to be undertaken by the company in order for the Company and its fleet to comply fully with new statutory requirements.
- Technical superintendent should be always in touch with Master and Chief Engineer by email and by phone. He should call a ship once per week and discuss ship matters with CE. Technical Superintendent should check emails on weekends and national holidays.
- To be ready to respond quickly to any emergency in the Engine Room and be in touch to give proper advice to the Chief Engineer. He is a member of the Emergency Response Team.
- Technical superintendent should report to Technical Manager and put a CC to him and Marine Superintendent for all ship’s matter.
- The Technical Superintendent is responsible for controlling the maintenance and monitoring that all materials are asbestos free.
b.4 Marine & HSSEQ Superintendent
- Required Qualifications: Master Mariner / Chief Mate, with two-year experience
- Responsible for:
- To maintain, implement and update the filling system as per SMS requirement.
- To be well familiar with company’s SMS, ISO and their requirement.
- To cooperate with Technical Superintendent to prepare Dry Dock Specification in due time.
- To keep updated Q-88 immediately upon any changes in the ship’s documents.
- To maintain ship to comply with MARPOL regulations.
- To keep updated VPQ (OCIMF) and HVPQ (CDI) on board the fleet.
- Arrange SIRE 2.0 Inspection and update Picture Repository and Certificates as well PIQ details.
- Arrange Flag Inspection as per Schedule interval.
- Review Monthly HSSEQ docs (Near Miss reports, KPI data, LTIF/ monthly safety meeting, Nav audits, master review) and update the vessel & HSSEQ Dept.
- Assist Safety Officer for vessel Registration and Insurance matters.
- To assist to arrange Vessel Insurance (H&M/ P&I).
- Liaise with P&I Club and Insurance brokers as required.
- To finalize the closure response for SIRE, Terminal Vetting, PSC inspection, Flag Inspection & Any club insurance Inspection.
- To provide assistance to Tech dept for arranging Deck Stores, Mooring and Bridge related equipment for selection/acceptance.
- Assist HSSEQ Manager in finalizing the Incident Investigation report.
- Review and Insert comments for all monthly/weekly HSSEQ docs in DSM platform.
- Marine Superintendent should assist technical superintendent to close all ship’s deficiencies in respect of port state and vetting inspection.
- To receive critical equipment tests, sea chest test, accommodation inspection report including cabin inspection and measuring equipment tests on weekly, two weekly, monthly basis. Effective record keeping shall be available for the attention of any inspectors and inform tech superintendent for any required repair and maintenance.
- To keep proper control over Navigation Charts, Nautical Publications and Deck Inventory including Chemicals, Paints, Gases, etc.
- To receive deck, bridge requisitions, checking their quantities, ROB and reasons for ordering and send them to procurement department to obtain quotation.
- To assist the Technical Superintendent in arranging proper discharge of Garbage, Sludge, Slops, Bilge waters in cooperation with Master and/or port agents followed by obtaining appropriate certificates.
- To monitor, control and file Daily Deck Work Done and PMS reports and give advice to Technical Superintendent for any deck maintenance.
- To visit each vessel at least once per year and fill in a vessel inspection report and assess the quality of ship staff and report to the Personnel department.
- To check on a monthly basis all statutory updates and assess the relevance of new items to the fleet.
- To send an appropriate report to the top management with appropriate actions to be undertaken by the company in order for the Company and its fleet to comply fully with new statutory requirements.
- To conduct interviews with all deck crew members offered for embarkation by the Personnel department and monitor ship’s crew performance on board and report to Personnel department failure of deck crew.
- The Marine Superintendent shall review the vessel passage plan on a required basis and advise the vessel and review the risk assessment submitted by the vessel for critical passages.
- Cargo Loading / Discharge plan shall be reviewed by him as required and for special operations like (Tank Cleaning operations) any deficiency shall be informed to on board management for necessary action.
- Marine Superintendent will be responsible for monitoring weather forecast and shall advise Master who is seeking for timely navigational feedback and guidance.
- Make sure all weekly NTM reach vessel for implementation by Second Officer on time and all navigational charts have been updated to them.
- Marine Superintendent should be always in touch with Master by email and phone. He should call a ship once per week and discuss ship matters with Master regardless of whether there is a necessity for such a call or not.
- To be ready to respond quickly to any emergency on board and be in touch to give proper advice to Master. He is the Head of the Emergency Response Team.
- Marine Superintendent should copy Technical Manager and Technical Superintendent for all ship’s matters.
b.5) Crew Manager:
- Required Qualifications: Graduate degree/ Diploma and knowledge of office work
- Responsible for:
- Implement and administer corporate policies and procedures.
- Support the activity of the company in accordance with Company policies, procedures and statutory requirements.
- Responsible for the recruitment of ship personnel.
- Ensure new hires are appropriately certified, qualified, suitably experienced and competent.
- Responsible for recruitment and other matters related to the employment of cadets and trainees.
- Arrange training to meet relevant legislation and regulations. Maintain records of training.
- Ensure training, development, and refresher courses and programs are in line with the requirements of the Safety Management System for ship personnel.
- Ensure vessels are manned in accordance with national and international requirements.
- Responsible for all matters related to employment and welfare of personnel aboard vessels.
- Appraise and evaluate performances of ship’s personnel.
- Ensure ship’s personnel are medically fit.
- Ensure ship’s personnel are appropriately certified and qualified for jobs assigned onboard.
- Maintain records of shipboard personnel relating to certification, qualification, competence, experience, and medical fitness.
- Participate in Emergency Responses.
C ) Company colleagues
Required Qualifications: Graduate degree/ Diploma and knowledge of office work.
It is imperative to motivate all personnel and to ensure awareness of the principle that each individual is responsible for the execution and the safety, environmental and quality control of their own work. Accordingly, they are obliged to familiarize themselves with instructions and procedures applicable to their work and also to understand the concepts of safety and environmental excellence and to perform accordingly.
c.1) Technical Assistant
Required Qualifications: 2nd mate or 2nd Class license holder with 12 months rank experience.
- To receive daily/weekly/fortnightly/monthly report and file them in folder of each ship after proper checking.
- To receive and fill any report from workshop or third parties which are required to be saved on server in related folder (distribution of reports will be done under TSI review and request once it is received from any service provider).
- To receive and update on server all class, flag, insurance and other certificates which are required to be saved on server in related folder. Keep updating vessel folder on server when Certificates renewed or any extension/dispensation received.
- To review daily, weekly, fortnightly, and monthly report received from fleet and make sure that they have been correctly prepared and in case of any mistake, it should be brought to notice of ship.
- To review noon report from fleet and make sure for correct ROB and other logging.
- To check all ship certificates to make sure they are all valid and to warn TD/TM/TSI/MSI for any certificate which will be due for extension or renewal within three months.
- To check and monitor (among with assigned TECH/SAFETY/MARINE departments in charge) ship insurances (P&I and H&M) to make sure they are all valid and to warn TD/TM/TSI/MSI for any insurances which will be due for renewal within 3 months (notification should be made every month starting from expiry period 3 months remained for renewal. When 1 month remains for expiration of insurances – MD and TD to be informed separately if responsible for insurance renewal departments were not performing any action).
- To check monthly paint, chemical and lub oil ROB and spare inventory to make sure they have been updated by ship and no mistake has been done by ships and advise to TM and TSI for any low ROB or zero spare.
- To send daily and monthly work done report to owners after proper checking (for each company and vessel requirement can vary – hence TA should discuss with vessel assigned TSI which reports to be collected and sent to owners monthly/weekly/daily).
- To assist to PMS team with preparation of PMS data for new taking over ships (in case any documents cannot be received by PMS department in time) and be in contact with PMS department in case any corrections.
- Together with assigned TSI in charge of vessel to monitor PMS of each ship and in case of overdue jobs to report to TM, TSI and TD.
- To back up procurement officer as per request of TD (if said will be required or necessary for short period).
- Contact workshop for shore service as per TSI request (in case assistance required by TSI in preparation for DD).
- Responsible for DCS and CII reporting (collecting info and forms from vessel and uploading them into assigned platform) to platform for IMO DCS and EUMRV (where EUMRV applicable) compliance.
- Responsible for Plans review together with Marine and Technical team and necessary amendments/corrections into plans upon Tech Director request (assisting to TSI if required).
- Review vessels reporting performance and providing monitoring and reminders in case reports were not correct, not sent to management timely, missed, or in the wrong format or any other errors/mismatching noticed.
- Assist to TSI in charge for preparation to Class and Flag survey upon request. Assist in Certificates and plans review and monitoring.
c.2) Manning Assistant:
As directed by Crew Manager.
c.3) Manning Assistant:
Required Qualifications: 2nd mate or 3rd engineer with 12 months rank.
Responsible for:
- Assist HSSEQ Manager as required.
- To assist for preparation of all docs related to vessel registration with Flag in close liaise with MD.
- To Carry Out LRIT Confirmation test as directed by Technical Manager/Technical Director.
- To be well familiar with company’s SMS, ISO, and their requirement.
- To get all sort of Flag docs while initial registration of vessel with Flag (COR, RSL, Insurance with Flag).
- To get assistance from Marine Superintendent for Application of Min Safe Manning Certificates.
c.4) PMS Engineer:
- Implementation of PMS on board.
- As directed by Technical Superintendent.
2.1.3 Management Representative
Required Qualifications: Senior management officer with master or Clas-1 COC with at-least 2 year sailing experience as master or Chief Engineer and with suitable 2 years experience in HSSEQ dept
The Managing Director shall appoint a Management Representative who will normally be the head of HSSEQ Department. This person shall be accountable and be responsible for, and have the authority that includes:
Responsibility and Authorities:
- Communication and implementation of the safety and environmental protection policy.
- Planning, organizing and carrying out the internal audits of the shore-based and shipboard operations under the SMS and keeping records of the same.
- Will be a part of emergency response team, providing a link between ship and shore in matters of safety & pollution prevention.
- Continuous monitoring and especially remote monitoring for the evaluation and review of the effectiveness of the safety management system.
- Reporting and analysis of non-conformities, accidents and hazardous occurrences.
- Appropriate revisions to the SMS.
- Ensuring that adequate resources and shore-based support is provided to achieve all of the above.
- Investigating, analysis and taking corrective / preventive action for reported non-conformities, accidents and hazardous occurrences.
- Programming, organizing and controlling management review meeting and keeping records of the same.
- Assist ship staff in risk assessment and job safety hazard analysis.
- Liaison with Marine Superintendent on routine issues of the SMS, including feedback on safety committee meetings and Master’s review of the SMS.
- To ensure monitoring of the safety management system via visits/inspections on board during calls or trips, following-up with shipboard recordings of safety drills reports, familiarization recordings, maintenance and periodic tests of all ship's equipment, safety and training meetings, orders for repairs or spare parts, Masters reviews and the internal audits, etc.
- Identifying training requirements with respect to shore-based personnel involved with the SMS.
- Review of all new regulations.
- Time frame to be chalked out for implementation of new rules and regulations.
- Alternate DPA shall carry out all functions of DPA during the absence of DPA.
- Communicate with Flag as First Point Of Contact.
- Submit TMSA and all details in OCIMF as per SMS.
- Organize Top Management meeting and record minutes of discussion.
2.1.4 Master`s Responsibility and Overriding Authority
The Company, through its recruitment and familiarization procedures, ensures that any appointed Master is medically fit, competent, qualified in accordance with international standards to STCW 2010 AS SUITABLE AND REQUIRED BY THE TYPE AND TRADE OF THE VESSEL, or other pertinent regulations for command, and is fully conversant with the Company's SMS:
The Master is management’s representative on board. He is required to be fully familiar and conversant with the SMS. He has the authority to act as he deems necessary, in an emergency situation involving the safety of the crew, vessel and cargo, and for pollution prevention without prior approval from Company.
He is responsible for:- Implementing the SMS on board.
- Ensuring that all personnel are well familiarized with the SMS and motivating them in the observation of Company's policies and procedures.
- Issuing appropriate orders and instructions in a clear and simple manner.
- Verifying that specified requirements are observed.
- Periodically reviewing the safety management system and reporting its deficiencies to the shore-based management.
The Master of the ship has overriding authority in matters regarding safety, security, and pollution prevention. This authority allows the Master to: Make critical decisions and take immediate actions at sea as well as in port, which he deems to be in the best interests of the safety of the ship, passengers or crew, and environmental protection with regard to measures which may be necessary to save the ship and request the company’s assistance as needed.
Master Have clear and unambiguous authority regarding acceptance of a salvage contract on LOF terms.
Once it has been decided that assistance is necessary:The Master should act promptly to request it from any available source using the most expeditious means at his disposal.
When one or more suitable ships respond to the call for assistance, the Master should immediately request such ship(s) to undertake whatever action is necessary.
Assistance should never be delayed merely to negotiate a particular form of agreement or contract terms.
Safety of life and safety of the ship take precedence over all other considerations, and it is emphasized that: Where life, the ship, its cargo, or the marine environment are in peril, such negotiations should not in any way delay the engagement of salvors.
2.1.5 Designated Person Ashore (DPA)
Required Qualifications:
Appropriately qualified, experienced as per statutory rules and regulations.Responsibility and Authorities:
- Communication and implementation of the safety and environmental protection policy.
- Planning, organizing and carrying out the internal audits of the shore-based and shipboard operations under the SMS and keeping records of the same.
- Will be a part of emergency response team, providing a link between ship and shore in matters of safety & pollution prevention.
- Reporting and analysis of non-conformities, accidents, and hazardous occurrences.
- Appropriate revisions to the SMS.
- Ensuring that adequate resources and shore-based support are provided to achieve all of the above.
- Investigating, analysis and taking corrective/preventive action for reported non–conformities, accidents, and hazardous occurrences.
- Programming, organizing and controlling management review meetings and keeping records of the same.
- Assist ship staff in risk assessment and job safety hazard analysis.

The DPA shall ensure the safe operation of managed ships and provide a link between the Company and those onboard by acting as the Designated Person Ashore (DPA) as defined by the ISM Code. The DPA shall have the independence and authority to report deficiencies observed to the highest level of management (i.e., the final decision maker regarding shoreside management and support and vessel operation and safety).
The responsibility and authority as the Designated / Alternate Designated person ashore include monitoring the safety and pollution-prevention aspects of the operation of each ship, ensuring that adequate resources are provided and shore-based support is applied. This is to be done by adopting best practices including improved procedures & or training.
2.1.6 SHIP MANNING
- All Officers assigned to ships managed by COMPANY are required to have the appropriate licenses and/or endorsements issued by or recognized by the flag administration of the ship they are serving. Licenses and endorsements are required to be current and valid for the duration of their tenure on the ship.
- The authenticity of the certificate of competency held by the seafarer is verified through the site of DG Shipping or through the Flag administration prior to the seafarer joining the vessel.
- All Vessels' personnel must hold a valid approved medical fitness report issued by the Flag State approved and company-appointed medical practitioner prior to assignment aboard the ship. This medical report must be as per Merchant Shipping (Medical Examinations) rules 2000, MLC 2006, and STCW 2010.
- The criteria for qualification of all personnel assigned on board and recruitment procedures are defined in a well-documented procedure in the Company procedure CREW MANUAL.
